These Terms of Use ("Terms") are between you ("you" or "User") and IA Projects, LLC, a California limited liability company ("IA Projects," "we," "us"), operator of the website at iaprojects.com (the "Site").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. What the Site Is

The Site is an informational and promotional website describing IA Projects and the products we develop. It does not provide accounts, user registration, subscriptions, payment processing, data storage, or any hosted software service.

Our products are delivered on their own domains under their own agreements. Nothing in these Terms grants you a license to any IA Projects product, and these Terms do not govern your use of any such product.

2. License to Use the Site

Subject to your compliance with these Terms, IA Projects grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business informational purposes.

No other rights are granted. You may not copy, reproduce, republish, distribute, or create derivative works from the Site or its contents except as permitted by applicable law or with our prior written permission.

3. Acceptable Use

You agree not to:

Use the Site to violate any law or any third party's rights.
Interfere with the Site's operation, including by overloading, scraping at volume, or probing for vulnerabilities outside an authorized security disclosure.
Attempt to gain unauthorized access to the Site, its hosting infrastructure, or any related systems.
Use the Site to distribute malware or to conduct any automated attack.
Misrepresent your affiliation with IA Projects, or use our names, logos, or brand assets in a way that suggests endorsement or partnership that does not exist.

We may restrict or block access to the Site for any User who violates this section.

4. Intellectual Property

The Site, including its code, design, layout, text, images, brand assets, and documentation, is owned by IA Projects or its licensors and is protected by intellectual property laws. No rights are granted to you except as expressly set forth in these Terms.

The "IA Projects," "AI Flotilla," and "Mimir" names and logos are trademarks of their respective owners. Product screenshots displayed on the Site depict our products and remain our property or that of the applicable product owner.

5. Third-Party Sites and Products

The Site links to third-party destinations, including aiflotilla.com and mimir.sh. Those sites are operated separately and are governed by their own terms and privacy policies.

We are not responsible for the availability, accuracy, content, or practices of any third-party site, and a link does not constitute an endorsement. Your use of any linked product or service is a matter between you and the operator of that service.

The Site also loads typefaces from Google Fonts, a third-party service subject to Google's own terms.

6. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information in connection with the Site.

7. No Professional Advice or Offer

Content on the Site is provided for general informational purposes only. It does not constitute professional, technical, legal, or financial advice, and it is not an offer to sell or a solicitation to buy any product or service. Descriptions of products, capabilities, and roadmaps are subject to change without notice and do not create any commitment or warranty.

8. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ITS CONTENT IS CURRENT OR COMPLETE. YOU USE THE SITE AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IA PROJECTS, ITS AFFILIATES, AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless IA Projects and its affiliates from any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Site or your violation of these Terms or applicable law.

11. Term and Termination

These Terms remain in effect while you use the Site. We may suspend or terminate your access at any time, for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive, including sections 4, 8, 9, 10, and 12.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms will be the state or federal courts located in Santa Clara County, California, and the parties consent to personal jurisdiction there. The parties waive any right to a jury trial.

13. Modifications

We may update these Terms from time to time. Any updates will be posted on this page with a revised effective date. Continued use of the Site after the effective date constitutes acceptance.

14. General

These Terms are the entire agreement between you and IA Projects regarding the Site and supersede any prior agreements regarding the Site. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
